Adamson Industries Corp TERMS and CONDITIONS

Adamson Industries Corp reserves the right to accept or reject any and all orders in any manner of which the order was received.  Adamson Industries Corp also reserves the right to update these Terms and Conditions at any time with no prior notice.

 EXCLUSION OF LIABILITY FOR DAMAGES:

In no event shall Adamson Industries Corp be liable to you under any cause of claim of any nature whatsoever, regardless of whether characterized as a tort, negligence, contract, warranty, or otherwise, for any loss of profits or other economic loss, including, but not limited to such losses as (1) wages paid to your employees, (2) lost revenue, (3) lost use of equipment, (4) purchase lease, or acquisition of replacement, substitute, or temporary equipment, facilities of services, (5) cost of capital, (6) costs or losses related to downtime, (7) manual labor cost, (8) or any other indirect, incidental, special, consequential, or other similar damages arising out of any claim relating to purchase of goods and/or services from Adamson Industries Corp, including losses resulting from general or particular requirements and needs of buyers, whether or not Adamson Industries Corp, at the time of contracting had reason to know of such requirements or needs, and whether or not such losses could have been reasonable and prevented by you by cover or otherwise. Adamson Industries Corp’s liability to you shall in no event exceed the purchase prices of the items giving rise to Adamson Industries’ liability to you.

OFFER TO SELL AND PRODUCT RESTRICTIONS:

We reserve the right to refuse to sell or ship merchandise to anyone.  By placing an order on www.adamsonindustries.com you agree to release Adamson Industries Corp from any and all liability associated with the use of the equipment purchased.  Certain products may be subject to certain legal restrictions.  When you purchase such product from Adamson Industries Corp, you convey to Adamson Industries Corp that you are authorized to make the purchase and you are in compliance with all local, state and federal laws concerning such product. 

CHOICE OF LAW AND FORUM SELECTION:

All dealings between Adamson Industries Corp and you shall be governed by the laws of Massachusetts. Any legal or equitable action of whatever nature against Adamson Industries Corp arising out of or related in any respect to this agreement or any purchase order, or arising out of any dealing between Adamson Industries Corp and you shall solely be brought in the appropriate court of the State of Massachusetts located in the jurisdiction where Adamson Industries has its principle place of business.

WEBSITE PAYMENT TERMS

Method: You can choose Visa, Master Card or Discover. Adamson Industries Corp reserves the right to change payment terms at any time.

Payment: All payments are payable in U.S. funds. Where applicable, custom charges will be applied.

Sales Tax: Sales tax applied to your order is determined according to state and local laws and regulations.  If sales tax is not applied during the order process, the sales tax will be charged as a seperate charge and you will be notified of the transaction.  For tax exempt customers, state law requires Adamson Industries Corp to have your signed tax exempt or resale certificate on file at our corporate facility.

Shipping: Every effort is made to ship your product within 24 hours if product is in stock. Non-Stock product lead times vary. Transit times vary. Shipping charges vary due to the product, (weight, size & quantity.) A correct physical address must be provided at time of order.  Next Day or 2nd Day Air may be provided for an additional charge.

 

PRICES: Our prices are FOB shipping point, with charges added to the invoice for shipping and handling. Because of the breed and depth of our product line, prices are subject to change without notice. Every effort is made to keep our website information correct, including prices, but to allow for human error, we reserve the right to correct any price without notice.
